TERMS AND CONDITIONS

1. Acceptance of Terms
By accessing or using the PN DIV website, services, applications, software, or digital platforms, you agree to be bound by these Terms and Conditions.
2. Services
PN DIV provides:
- Website Design and Development
- Mobile Application Development
- E-Commerce Solutions
- UI/UX Design
- Branding Services
- Hosting and Maintenance
- Digital Marketing
- SEO Services
- Software Development
- Technology Consulting
3. Client Responsibilities
Clients agree to:
- Provide accurate project requirements.
- Supply lawful content.
- Respond to project communications promptly.
- Make agreed payments according to contract terms.
- Obtain rights and licenses for materials supplied to PN DIV.
4. Intellectual Property:
Unless otherwise agreed in writing:
a. Client-Owned Materials
The client retains ownership of content, logos, trademarks, and proprietary materials supplied to PN DIV.
b. PN DIV-Owned Materials
PN DIV retains ownership of proprietary methodologies, source code frameworks, templates, tools, processes, and know-how.
c. Final Deliverables
Ownership of completed deliverables transfers upon full payment unless otherwise specified in the project agreement.
5. Payments
- Deposits are generally non-refundable once work commences.
- Late payments may result in project suspension.
- Additional work outside scope may incur extra charges.
6. Limitation of Liability
PN DIV shall not be liable for:
- Loss of profits
- Business interruption
- Data loss
- Indirect damages
- Third-party platform failures
Maximum liability shall not exceed the fees paid by the client for the affected service.
7. Termination:
Either party may terminate services in accordance with the service agreement.
Outstanding fees remain payable upon termination.
8. Third-Party Services
- PN DIV may integrate services provided by third parties including hosting providers, payment gateways, APIs, cloud services, analytics platforms, and software vendors.
9. Governing Law
- These Terms shall be governed by the laws of the Federal Republic of Nigeria.
10. Dispute Resolution

Parties shall first attempt amicable settlement.
Where unresolved, disputes shall be submitted to arbitration in Nigeria before resorting to litigation.
